Articles of Constitution


                                                                    Article I. Name
1. The organization shall be named the Oklahoma Global Education Consortium.
2. The acronym for the organization shall be OGEC.


                                                                   Article II. Purpose
1. The purpose of this organization is to foster collaboration between institutions to achieve the goal of
    preparing individuals and communities to participate in the global society and economy.


                                                       Article III.  Membership and Fee
1. Membership in this consortium shall be open to Oklahoma community colleges and technical branch
    institutions, and by invitation to four-year colleges and universities within this same state.
2. Membership shall be maintained through payment of a nominal institutional membership fee.
3. Each member school shall have one vote cast by its official institutional representative.
4. Affiliate Membership
                                  a. Affiliate membership shall be available to colleges, universities, and professional
                                      organizations both within and outside Oklahoma contingent on approval by the
                                      governing body of OGEC, the Committee of Delegates.
                                  b. Affiliate membership will allow institutions to participate in selected OGEC
                                      programs on a space available basis; they will not however participate in the
                                      governance process.
                                  c. Affiliate membership fees shall be the same as annual membership fees.


                                           Article IV.  Institutional Responsibility of Members
1. Each member institution may accept courses offered through OGEC agreements. Courses may be
    designated as the property of the provider institution or the receiving institution contingent on
    agreements made through OGEC relative to the class in question. OGEC is designed to facilitate
    these partnerships, not to control the definition of specific agreements between institutions.
    Institutional members are expected to maintain consistent standards of student admission and
    evaluation to guarantee seamless transitions between higher education institutions in Oklahoma.
2. Institutional members shall promote the globalization process in Oklahoma by sharing resources,
    guest lectures, foreign exchange opportunities, etc. whenever possible.


                                                      Article V.  Structure and Officers
1. The OGEC governing body, referred to as the Committee of Delegates, shall consist of one
    institutional delegate and the college Presidents. Each institution will have one vote.
2. Officers shall include an Executive Chair, Vice Chair, Secretary, and Treasurer. They shall be  
    approved by the Committee of Delegates.
3. Each member institution shall appoint an official OGEC delegate whose name shall be  
    communicated to the Executive Chair.     
4. Duties and responsibilities: 
                                  a. Institutional delegates shall be responsible for representing their institutions on the
                                      OGEC Committee of Delegates, promoting their respective institution's
                                      programs, orchestrating the implementation of OGEC initiatives throughout the  
                                      consortium, and contributing to the research and design of projects aimed at
                                      globalizing Oklahoma in all areas of higher education.
                                  b. The Executive Chair shall preside over all meetings of the governing board, call for
                                      special meetings, appoint committees, and coordinate regular evaluations of      
                                      OGEC programs.
                                  c. The Vice Chair shall assist the Executive Chair and in the latter's absence,
                                      preside at meetings of the governing board.
                                  d. The Secretary shall keep an accurate, permanent record of all governing board
                                      meetings. All clerical duties, including records maintenance, shall be designated to
                                      this office. The Secretary shall preside at meetings of the Committee of Delegates
                                      in the absence of both the Executive Chair and the Vice Chair.
                                  e. The treasurer shall keep an accurate and permanent record of all fiscal transactions
                                      and all accounting responsibilities.
                                  f. The conference chair office shall alternate between presidents and non-presidents
                                     of colleges.

5. The term of each of the above officers shall be from conference to conference with exception of the
    treasurer’s term which shall run from January 01 to December 31
fiscal year.
6. The Executive Chair shall appoint committees appropriate to carrying out the functions and
    responsibilities of the organization. Committee members shall be members of the Committee of
    Delegates and may invite other persons or organizations to assist in their activities.


                                                                  Article VI. Meetings
1. The Committee of Delegates shall meet at least once each fall, spring, and summer. The Executive
    Chair may call additional or special meetings.
2. Business transactions shall require the presence of at least one officer and one-half of the Committee
   of Delegates. 

                                                   Article VII. Constitutional Amendments  
1. Proposed amendments may be presented by any Delegate.
2. A proposed amendment must be read at one meeting and reported in the official minutes. Its vote
    however will be taken at the next regular meeting or by mail ballot.
3. Passage of an amendment requires a two-thirds majority vote of the delegates.

                                                    Article VIII. Constitutional Ratification  
1. The procedure is the same as sections 1 and 2 of  article VII.
2. Ratification requires a three-fourths vote of all members of the Committee of Delegates.
